Welcome to TraderChat. These Terms of Service ("Terms") govern your access to and use of the TraderChat platform, including our website, mobile applications, and services. By accessing or using the Service, you agree to be bound by these Terms.

Acceptance of Terms

By creating an account or using TraderChat, you agree to these Terms and our Privacy Policy. If you do not agree to these Terms, you may not use the Service. You must be at least 18 years old and have the authority to enter into these Terms on behalf of yourself or your organization.

TraderChat is a B2B communication and trading platform that enables businesses to connect, negotiate, and manage trades. The Service includes messaging, deal management, documentation, and related features. We reserve the right to modify, suspend, or discontinue any part of the Service at any time.

Account Registration

To use TraderChat, you must create an account. You agree to:

Note: TraderChat is currently invite-only. We reserve the right to approve or reject account applications at our discretion.

User Content

You retain ownership of content you submit to TraderChat ("User Content"). By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, store, and display your content as necessary to provide the Service.

You are solely responsible for your User Content. You represent that you have all necessary rights to submit the content and that it does not violate any laws or third-party rights.

Trading and Transactions

TraderChat facilitates communication and deal management between users but is not a party to any transactions. You acknowledge that:

  • •All trades are conducted at your own risk
  • •TraderChat is not liable for disputes between users

Intellectual Property

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TRADERCHAT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES.

11. Indemnification

You agree to indemnify and hold harmless TraderChat and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses arising out of your use of the Service or violation of these Terms.

12. Termination

We may terminate or suspend your account at our sole discretion, without prior notice, for conduct that violates these Terms. You may terminate your account at any time by contacting us.

13. Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms and updating the "Last updated" date.

14. Governing Law

These Terms shall be governed by the laws of the Province of Ontario, Canada. Any disputes shall be resolved in the courts located in Ontario, Canada.
